Photography Licensing Agreement

This Photography Digital Download Licensing Agreement ("Agreement") is a legally binding contract between you ("Licensee," "you," or "your") and Steve Adams, Steve Adams Photography, based in California, United States ("Licensor," "we," "us," or "our").

By purchasing, downloading, accessing, or using any digital image, photograph, or related file from our website (collectively, the "Images"), you confirm that you have read, understood, and agreed to all terms of this Agreement. If you do not agree, do not purchase, download, or use the Images.

1. Ownership and Copyright

All Images are owned exclusively by Licensor and are protected by United States and international copyright and intellectual property laws. You are purchasing a license to use the Images, not ownership of the Images themselves. No rights are granted except those explicitly stated in this Agreement.

2. License Type and Scope

Upon full payment, Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Images strictly as permitted below.

This license:

  • Does not grant exclusivity

  • Does not allow transfer or resale

  • Can be revoked if you violate this Agreement

3. Explicitly Permitted Uses

You MAY use the Images for the following purposes:

Personal Use

  • Display on personal websites, blogs, or social media accounts

  • Personal art prints for home or office decor

Commercial Use

  • Marketing, advertising, and promotional materials

  • Business websites, email marketing, and social media posts

  • Printed materials such as brochures, flyers, posters, magazines, and signage

Modifications

  • You may crop or resize Images for layout or formatting purposes

  • You may adjust brightness or contrast

  • You may NOT materially alter, distort, or create derivative works that change the fundamental character of the Image

4. Explicitly Prohibited Uses

You MAY NOT, under any circumstances:

  • Sell, resell, redistribute, sublicense, share, gift, or provide the Images to any third party

  • Make the Images available for download, whether free or paid

  • Use the Images in templates, themes, design kits, stock libraries, AI training datasets, NFTs, or print-on-demand marketplaces

  • Claim ownership, authorship, or copyright of the Images

  • Use the Images as a logo, trademark, or brand identity

  • Use the Images in a way that suggests endorsement, sponsorship, or affiliation by Licensor

  • Use the Images in unlawful, defamatory, misleading, pornographic, hateful, or otherwise offensive content

5. Print and Reproduction Limits

Unless otherwise stated at the time of purchase:

  • Physical reproductions are limited to 5 copies per image.

  • Each Image may only be used for a single campaign or project

  • Unlimited print runs or extended commercial usage require a separate written license

6. No Exclusivity

This license is non-exclusive. Licensor may license the same Images to other individuals or businesses at any time.

7. Attribution

Attribution is not required unless used for commercial use, contains modifications, or explicitly stated at the time of purchase.
When attribution is required, it must appear as Photo ©Steve Adams Photography.

8. No Model or Property Releases

Unless explicitly stated in writing, Images are provided without model releases or property releases. You are solely responsible for determining whether releases are required for your intended use, particularly for advertising or commercial purposes.

9. Disclaimer of Warranties

The Images are provided "as is" and "as available." To the fullest extent permitted by law, Licensor makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages

  • Licensor’s total liability shall not exceed the amount you paid for the Image that gave rise to the claim

11. Indemnification

You agree to indemnify, defend, and hold harmless Licensor from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorney fees) arising from your use of the Images, your violation of this Agreement, or your failure to obtain required releases.

12. Termination

This license automatically terminates if you violate any term of this Agreement. Upon termination, you must immediately stop using the Images and permanently delete all copies in your possession or control.

13. Governing Law and Venue

This Agreement shall be governed by the laws of the State of California, United States, without regard to conflict of law principles. Any legal action must be brought in state or federal courts located in California, unless local consumer protection laws require otherwise.

14. International Users and Local Laws

This Agreement is intended to be enforceable worldwide. However, you are responsible for complying with all local laws in your country or jurisdiction. Nothing in this Agreement limits rights that cannot be waived under applicable consumer protection laws.

15. Severability

If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full force and effect.

16. Entire Agreement

This Agreement constitutes the complete and exclusive agreement between you and Licensor regarding the Images and supersedes all prior agreements or understandings.
